Interim Dividend Distribution for Q3 2025

A company may decide, on September 30, 2025, to distribute interim dividends to its shareholders based on interim financial statements prepared and approved by the General Meeting of Shareholders (GMS).

According to Company Law no. 31/1990 and Accounting Law no. 82/1991, dividends can be distributed optionally, on a quarterly basis, from the net accounting profit achieved up to that date, adjusted for any carried-forward losses or legally required reserves. The final adjustment is made after preparing the annual financial statements, and any differences must be paid within 60 days of their approval.

Steps for distributing interim dividends:

  1. Prepare interim financial statements as of 30.09.2025, based on the trial balance and inventory of assets, liabilities, and equity.
  2. Approve these statements through a GMS resolution, setting the amount of dividends to be distributed.
  3. Record the corresponding accounting entries:
    • Allocation:
      463 = 456 (Receivables representing dividends / Settlements with shareholders)
    • Withholding the 10% dividend tax:
      456 = 446
    • Payment of dividends:
      456 = 5121/5311 (Bank accounts/Cash)

Therefore, interim dividends can only be legally and properly distributed after preparing and approving the interim financial statements for Q3 2025.
