Order of the Ministry of Finance no. 1421/2025, published in the Official Gazette no. 786 and effective as of August 22, 2025, regulates the postponement of the deadlines for certain sustainability reporting requirements.
According to the order, companies that were required to prepare sustainability reporting starting with the 2025 and 2026 financial years will benefit from a two-year postponement of the obligation.
New application deadlines
- Obligations initially applicable to the 2025 financial year (reporting in 2026) will now apply starting with the 2027 financial year (reporting in 2028).
- Obligations initially applicable to the 2026 financial year (reporting in 2027) will now apply starting with the 2028 financial year (reporting in 2029).
Entities concerned
- 2025 becomes 2027 for:
- medium-sized and large entities which, at the balance sheet date, exceed at least two of the following thresholds (according to MF Orders 1.802/2014 and 2.844/2016): total assets – RON 25,000,000, net turnover – RON 50,000,000, average number of employees – 50;
- parent companies of large groups (other than those already subject to reporting since the 2024 financial year);
- medium-sized and large entities subject to IFRS-based accounting regulations applicable to certain state-owned companies, if they exceed the above thresholds.
- 2026 becomes 2028 for:
- companies whose securities are admitted to trading on a regulated market and which do not exceed the above-mentioned thresholds (MF Order 2.844/2016).
Context
Sustainability reporting, introduced at the beginning of 2024 as a gradual replacement of the non-financial statement, aims to provide information regarding:
- environmental factors,
- social factors and human rights,
- governance and other sustainability aspects.
The new reporting is part of the management report and is designed to align Romanian practices with European standards on corporate transparency and accountability.
